ChatX Terms of Service

1. Scope and Acceptance

These Terms of Service ("Terms") govern access to and use of ChatX, a product owned and operated by TANZ TECHNOLOGIES LLC, including the website, web application, APIs, integrations, support channels, and related services (collectively, the "Service").

By creating an account, accessing the Service, or using any part of ChatX, you agree to be bound by these Terms. If you do not agree, you must stop using the Service.

2. Service Description

ChatX is an omni-channel customer communication and support management platform that helps businesses centralize conversations, route requests, monitor performance, and operate support teams in one interface.

  • Unified inbox: Collect, label, prioritize, and route customer conversations.
  • Ticket workflow: Assignment, queue management, SLA tracking, and resolution lifecycle.
  • Team collaboration: Internal notes, role-based permissions, audits, and activity logs.
  • Analytics: Response times, resolution metrics, agent workload, and operational insights.
  • Integrations and API: Connectivity with supported third-party communication tools and systems.

3. Accounts, Access Roles, and Security

The customer organization is responsible for all account activity within its workspace, including actions of administrators, agents, and invited users.

  • Accurate information: You must provide and maintain accurate legal, billing, and contact details.
  • Credential protection: You must protect passwords, tokens, and authentication methods.
  • Authorized users only: Access is limited to approved personnel for legitimate business use.
  • Security incidents: Any suspected unauthorized access or breach must be reported immediately.

4. Acceptable Use and Prohibited Conduct

To preserve system integrity, legal compliance, and service quality, you agree not to misuse the Service.

  • Sending unlawful, deceptive, abusive, infringing, or unsolicited spam content.
  • Attempting to disrupt service availability, overload systems, or bypass access controls.
  • Uploading malware, malicious scripts, or harmful payloads.
  • Using unauthorized credentials or third-party API keys without proper rights.
  • Attempting to access, scrape, or expose data belonging to other customers.
  • Using the Service in violation of applicable communication, privacy, or consumer protection laws.

5. Subscription, Billing, and Payment Terms

ChatX is provided under paid subscription plans unless otherwise stated in writing. Plan scope may include usage limits, seat limits, message allowances, and feature availability.

  • Billing cycle: Monthly or annual prepayment may apply based on selected plan.
  • Auto-renewal: Subscriptions may renew automatically unless canceled before renewal.
  • Late payments: Overdue invoices may result in limited functionality or suspension.
  • Taxes and duties: Customer is responsible for applicable taxes and statutory charges.
  • Refund policy: Except where required by law or agreed in writing, paid fees are non-refundable.

6. Integrations, APIs, and Third-Party Services

ChatX supports integrations with external communication channels and business systems. Availability and behavior of such integrations may depend on third-party providers, their API limits, policies, and uptime.

  • API use must comply with authentication, rate-limit, and security requirements.
  • Third-party policy or technical changes may affect integration behavior without prior notice.
  • You are responsible for protecting and rotating integration tokens and credentials.
  • ChatX is not liable for outages or restrictions originating from third-party services.

7. Data Processing and Privacy

ChatX applies organizational and technical controls to protect customer data. Data collection, storage, transfer, retention, and deletion principles are further described in the Privacy Policy.

You are responsible for ensuring lawful processing of personal data uploaded to the Service, including obtaining required notices and consents and handling data subject rights in accordance with applicable law.

8. Intellectual Property Rights

All rights, title, and interest in the Service, including software, architecture, branding, designs, documentation, and other materials, remain with TANZ TECHNOLOGIES LLC or its licensors.

Unless explicitly permitted in writing, you may not copy, modify, reverse engineer, sublicense, or commercially exploit any part of the Service.

9. Service Availability and Support

ChatX makes commercially reasonable efforts to keep the Service available and secure. Planned maintenance, infrastructure upgrades, incident response actions, and external failures may cause temporary disruptions.

Support response and handling priority may vary by subscription plan, issue severity, and operational impact. Customers should provide accurate diagnostic details for faster resolution.

10. Limitation of Liability

To the maximum extent permitted by law, ChatX is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profit, data, goodwill, or business opportunity, arising from or related to use of the Service.

You remain solely responsible for the legality, content, and outcomes of communications conducted through your account.

11. Term, Suspension, and Termination

These Terms remain effective while you use the Service. You may cancel your subscription at any time subject to plan terms and billing cycle. ChatX may suspend or terminate access for non-payment, material breach, abuse, or security risk.

Following termination, data retention and deletion timelines may apply based on legal obligations, backup policies, and contractual terms.

12. Warranty Disclaimer

The Service is provided on an "as is" and "as available" basis, except to the extent required by law or expressly agreed in writing. ChatX disclaims implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Azerbaijan, without regard to conflict-of-law principles.

The parties will first attempt to resolve disputes through good-faith negotiations. If unresolved, disputes shall be submitted to the competent courts of Azerbaijan unless otherwise required by mandatory law.

14. Changes to These Terms

ChatX may update these Terms from time to time. The updated version becomes effective when published on the website or platform. For material changes, additional notice may be provided where reasonably practicable.
